Farmshare Website Terms of Use

Farmshare is an equestrian services marketplace. We aim to connect horse-owners and enthusiasts with service providers or hosts offering horse-friendly accommodation, and horse related experiences.

These terms and conditions (Terms) are entered into between Farmshare Pty Ltd ABN 32 694 362 733 (we, us or our) and you, together the Parties and each a Party.

We provide a platform (Platform) where:

  • Service providers and hosts (Hosts) of accommodation, experiences and services and guests/clients/customers (you, a Customer) can connect and transact; and
  • Agistment providers and agistment seekers can connect.

Farmshare:

  • Does not own, control, manage, or operate any property listed on the platform
  • Is not a party to agreements between Hosts and Guests
  • Farmshare disclaims responsibility for the condition, safety, or legality of any property.

The Platform is available at www.thefarmshare.com and via other channels or addresses.

In these terms, User means Hosts, Customers and guests.

If you are using the Platform on behalf of your employer or a business entity, you, in your individual capacity, represent and warrant that you are authorised to act on behalf of your employer or the business entity and to bind the entity and the entity’s employees, contractors and other personnel to these Terms.

By accessing or using the Site or Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Site or Services.

Definitions

  • “User” or “you” means any person who accesses or uses the Site or Services.
  • “Contributor/host/service provide” means a User who lists their property, uploads content, photos, or makes their land available for agistment. Or makes their land/property available for short terms accommodation. Or a person who lists their services available on the platform, including but not limited to horse riding lessons, trail riding, horse experiences.
  • “Listings” means property, short-term accommodation, riding lessons, trail riding, agistment offerings, descriptions, images, and related content made available by Contributors via the Site.
  • “Content” includes text, images, videos, audio, listings, descriptions, user reviews, and any other material uploaded or posted by Users.
  • “Third Party Service” means any service, plugin, API, or platform integrated with the Site (e.g. maps, payment gateways, social media).

Interpretation

In these Terms, headings are for convenience only and do not affect interpretation. Singular includes plural and vice versa. “Including” means “including without limitation.”

Eligibility

You must be at least 18 years old or otherwise legally able to form binding contracts in your jurisdiction to use the Site.

Assumption of Risk

Guests acknowledge that farm and rural properties involve inherent risks, including but not limited to:

  • Horses that may kick, bite, bolt, crush, or behave unpredictably
  • Livestock including cattle, sheep, goats, and other animals that may cause injury
  • Guest animals interacting with livestock or other animals
  • Uneven ground, holes, dams, rivers, creeks, mud, and unstable terrain
  • Electric fencing and wire fencing
  • Farm vehicles, machinery, and equipment
  • Wildlife including snakes, spiders, insects, and other dangerous animals
  • Remote locations with limited access to emergency services

By using Farmshare, Guests voluntarily assume all risks of injury, death, property damage, or loss arising from use of any property.

You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of the Farmshare Platform and any Content, including your stay at any Accommodation, participation in any Service, Experience, use of any other Host Service, or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Host Service to determine whether it is suitable for you. For example, Host Services may carry risk of illness, bodily injury, disability, or death, and you freely and wilfully assume those risks by choosing to participate in those Host Services.

Guest Responsibility for Their Animals

Guests are solely responsible for:

  • The safety, control, and supervision of their horses and animals
  • Any injury, death, or damage involving their animals
  • Ensuring their animals are appropriately trained, healthy, and suitable for farm environments

Farmshare and Hosts are not responsible for injury, illness, escape, or death of guest animals except where required by law.

Host Responsibility Disclaimer

Hosts are independent property owners and are not employees, agents, or partners of Farmshare.

Farmshare does not guarantee:

  • Safety of any property
  • Suitability for any particular animal or purpose
  • Accuracy of listing descriptions Guests use properties at their own risk.

Release and Waiver of Liability

To the maximum extent permitted by Australian law, Guests release and agree not to hold liable:

  • Farmshare Pty Ltd  Farmshare directors, officers, employees, and contractors
  • Hosts
  • Property owners

For any injury, death, loss, damage, or expense arising from:

  • Use of any property
  • Interaction with animals
  • Presence on rural or farm land
  • Actions of other guests, animals, or third parties Except where liability cannot legally be excluded.

Host Insurance Requirement

Hosts are responsible for maintaining appropriate public liability insurance covering farm and accommodation activities.

You agree to obtain and maintain at your expense primary insurance covering your liability and the liability of any of your employees or agents working with you or on your behalf for third party bodily injury and property damage arising from a Guest’s stay at your Accommodation during a Reservation.

Farmshare does not provide insurance coverage for Hosts or Guests.

Equine Activity Risk Acknowledgment

Guests acknowledge that horses are inherently dangerous animals and may:

  • Kick
  • Bite
  • Bolt
  • Buck
  • Crush
  • Cause serious injury or death Guests voluntarily assume all risks associated with equine environments.

Amendment and Updating of Terms

We may amend these terms at any time. We may revise these Terms from time to time. When we do, the updated version will be posted on the Site with a “Last Updated” date. If changes are material, we may notify users by email. Continued use after changes constitutes acceptance.

Grant of License

Subject to your compliance with these Terms, we grant you a limited, revocable, non- exclusive license to access and use the Site and Services for lawful purposes only, in a manner consistent with these Terms.

Prohibited Uses

You agree not to:

  • Violate any applicable law, regulation, or third-party right (privacy, intellectual property, etc.).
  • Use the Site for fraudulent, deceptive, or misleading conduct.
  • Copy, reproduce, or distribute any portion of the Site except where expressly permitted.
  • Bypass security measures, probe vulnerabilities, or disrupt the Site.
  • Impersonate another person or entity, or create a false identity.
  • Upload content that is defamatory, obscene, unlawful, or infringing.
  • Use the Site in a way that harms or interferes with other users’ access.

If you violate these Terms, we may suspend or terminate your access, without prior notice, at our discretion.

Listing

Where you wish to provide horse experiences or become a host, create an account on the Platform and post an accurate and complete description of the services you provide, which may include an accommodation listing, experience listing or other equestrian services/experiences. The Listing must comply with these Terms and any other guidelines set out on the Site.

Accommodation Listing: Post an accurate and complete description of the accommodation services (including a description of the accommodation, location, availability, fees, any restrictions that apply).

Experience Listing: Post an accurate and complete description of the experience you would like to provide (including a description of the activity, any minimum age, proficiency or other requirements and any other information we request you to provide).

Agistment Listing: Post an accurate and complete description of the agistment opportunity you would like to offer (including location, type, duration, availability and pricing, and any other information we request you to provide).

A Customer/guest/client wanting to buy Services or become a host creates an account on the Platform to view and browse Listings.

A Customer may book Services described in a Listing by booking through the Platform. If necessary, the host may choose to cancel the booking.

Bookings created and not cancelled on the platform become a legally binding agreement between you and the Customer for which fees will be required to be paid immediately. Customers that book accommodation services agree that the Booking is a limited licence granted to them by you to enter, occupy and use the accommodation outlined in the Listing, for the duration of their stay, during which time you (only where and to the extent permitted by applicable law) retains the right to re-enter the accommodation, in accordance with the Customer’s agreement with you.

By accepting Booking Requests, you confirm that you are legally entitled to and capable of supplying the Services described in the Booking Request. Once a Booking Request is accepted, you agree not to increase the fees.

You must include all additional terms and conditions relating to Services in the relevant Listing or must clearly state that there are additional terms and conditions. By creating a Booking, a Customer is accepting your additional terms and conditions, including any checkout times, cancellation policy listed in the Listing and any of your rules.

If a Customer makes a Booking for accommodation services and they stay past the agreed checkout time without your consent (Overstay), you are entitled to make the Customer leave in a manner consistent with applicable law. In addition, the Customer agrees to pay, at your request, for each 24 hour period (or any portion thereof) that you Overstay, an additional nightly fee of up to 2 times the average nightly Booking Fee originally paid by the Customer to cover the inconvenience suffered by you, plus all applicable taxes, and any legal expenses incurred by you to make the Customer leave (collectively, Overstay Fees). Overstay Fees for late checkouts on the checkout date that do not impact upcoming bookings may be limited to the additional costs incurred by you as a result of such Overstay.

Username & Password

You are responsible for safeguarding your credentials. You must not share them, and you must notify us immediately of unauthorized use. We are not liable for losses from your failure to protect your login.

You will be liable for all activity on your Account, including purchases made using your Account details. You agree to immediately notify us of any unauthorised use of your Account.

Account Suspension / Termination

We may suspend or terminate your account, content, or access at our discretion, especially for breaches or suspected misconduct. You may also delete or deactivate your account at any time, by informing us via email.

Ownership & License

You retain ownership of the content you post (photos, descriptions, etc.), subject to the rights you grant Farmshare under these Terms.

License to Farmshare

By posting Listings or content, you grant Farmshare a worldwide, royalty-free, perpetual, non-exclusive license to:

  • Display, host, distribute, promote, modify, and publicly use the content in connection with the Services (including marketing, social media, advertising).
  • Create derivative works (e.g. cropping, resizing, overlaying logo) for promotional use.
  • Sub-license to third parties as needed to provide the Services (e.g. ad networks, printing, affiliates).

Content Representations & Warranties

You represent and warrant:

  • You either own or have all necessary rights, permissions, and consents (including model releases) for all content you upload.
  • No person depicted in your images has objected to their image being used in association with your listing or by Farmshare.
  • Your content does not infringe third-party intellectual property or privacy rights.
  • You will promptly remove or amend any content if asked by Farmshare or affected parties.

Right to Remove or Disable

We reserve the right to remove or disable access to content or listings at our discretion, including if we believe they violate the Terms or applicable law, or on notice by rights holders.

Payment & Fees

It is free to register an Account on the Platform, including to create Listings. In consideration for providing the Platform, we will charge the service fees (including any third party payment processing fees). To the extent permitted by law, our Service Fee is non-refundable, includes the payment processing fee and will be included in the Booking Fee (as defined below), as applicable.

Farmshare may modify service fees upon reasonable notice.

Listings

Customers agree to pay the relevant fees set out in the Listing (Booking Fee) when a Booking Request is accepted

Upon receipt of the Booking Fee from the Customer, our payment processor Stripe will hold the Booking Fee on your behalf until such time as they are paid to you, refunded to the Customer (if the Customer is entitled to a refund in accordance with these Terms) or paid to us as our Service Fee. By using Farmshare you also agree to the terms set our by the use of Stripe.

Payment and Service Disputes

For disputes between Users, we encourage the parties to attempt to resolve disputes (including claims for returns or refunds) with the other party directly and in good faith, either on the Platform or through external communication methods. In the event that a dispute cannot be resolved through these means, the parties may choose to resolve the dispute in any manner agreed between the parties or otherwise in accordance with applicable laws.

Cancellation, Refunds and Platform Authority

  1. Host Cancellation Policies

Hosts are responsible for setting their own cancellation policies within their Listings, including any applicable refund terms, notice periods, and fees. By making a Booking, Customers agree to the cancellation policy stated in the relevant Listing. Unless otherwise required by law or determined by Farmshare under these Terms, refunds will be governed by the Host’s stated cancellation policy.

  1. Customer Cancellations

Customers may cancel a Booking in accordance with the cancellation policy specified in the Listing. Any refund entitlement will be calculated based on that policy and processed via the Platform’s payment provider where applicable. Service Fees paid to Farmshare may be non-refundable except where required by applicable law.

Host Cancellations

If a Host cancels a confirmed Booking, the Customer will be entitled to a refund of amounts paid for the Booking, unless the cancellation results from circumstances outside the Host’s reasonable control.

Farmshare may take action against Hosts who repeatedly or unreasonably cancel confirmed Bookings, including suspension or removal of Listings or accounts.

Host Cancellation After Travel or Arrival

If a Host cancels a confirmed Booking on or shortly before the scheduled check-in time, including after a Customer has commenced travel or arrived at or near the destination, the following applies:

Refund of Booking Amounts

The Customer will be entitled to a refund of amounts paid for the Booking in accordance with these Terms.

No Guarantee of Replacement Accommodation

Farmshare does not guarantee the availability, suitability, or cost of alternative accommodation or services and is not responsible for securing replacement arrangements.

No Liability for Travel or Consequential Costs

To the maximum extent permitted by law, Farmshare is not liable for any indirect or consequential losses arising from a Host cancellation, including but not limited to:

  • travel expenses;
  • fuel or transport costs;
  • event entry fees;
  • agistment costs incurred elsewhere;
  • veterinary expenses;
  • loss of enjoyment;
  • accommodation booked outside the Platform; or
  • any other incidental or consequential loss.

Host Accountability

Farmshare may take action against Hosts who cancel Bookings without reasonable justification, including issuing warnings, applying penalties, suspending Listings, reducing visibility, or terminating accounts.

User Acknowledgement

Customers acknowledge that Hosts are independent third parties and that cancellations may occur due to circumstances beyond Farmshare’s control, including emergencies, safety risks, animal welfare concerns, or property issues.

Reviews, Ratings and User Feedback

  1. Ability to Leave Reviews

The Platform may allow Users to post reviews, ratings, comments, feedback, or other content relating to Listings, services, experiences, properties, or interactions with other Users (Reviews).

Reviews must be based on genuine experiences and reflect the honest opinions of the reviewing User.

  1. User Responsibility for Reviews

Users are solely responsible for any Reviews they submit. By posting a Review, you represent and warrant that:

  • the Review is truthful and based on your actual experience;
  • the Review does not contain false, misleading, defamatory, abusive, discriminatory, or unlawful content;
  • the Review does not infringe any person’s rights, including privacy or intellectual property rights; and
  • you are not posting the Review for a competitive, malicious, or improper purpose.
  1. No Endorsement by Farmshare

Farmshare does not endorse, verify, or guarantee the accuracy of Reviews. Reviews reflect the opinions of individual Users only and do not represent the views of Farmshare.

Farmshare is not responsible for the content, accuracy, or reliability of Reviews.

  1. Moderation Rights

Farmshare reserves the right, but has no obligation, to monitor, moderate, edit, remove, or disable access to any Review at its sole discretion, including where Farmshare reasonably believes the Review:

  • breaches these Terms or applicable law;
  • is false, misleading, defamatory, abusive, or harmful;
  • relates to matters outside the reviewer’s genuine experience;
  • contains personal information or safety-sensitive details; or
  • may expose Farmshare or Users to legal or reputational risk.

Farmshare is not required to remove Reviews solely because a User disputes or disagrees with them.

  1. License to Use Reviews

By submitting a Review, you grant Farmshare a worldwide, royalty-free, perpetual, non- exclusive licence to use, reproduce, display, publish, adapt, and distribute the Review in connection with operating, promoting, and improving the Platform, including marketing and promotional materials.

  1. No Obligation to Publish

Farmshare may choose whether or not to publish or display any Review and does not guarantee that Reviews will remain available on the Platform.

  1. Prohibited Review Conduct

Users must not:

  • post fake or misleading Reviews;
  • offer or accept incentives in exchange for Reviews unless expressly permitted by Farmshare;
  • submit Reviews on behalf of another person; or
  • attempt to manipulate ratings or rankings. Farmshare may suspend or terminate accounts engaged in review manipulation.
  1. Reporting Reviews

Users may report Reviews they believe breach these Terms. Farmshare may investigate but is not obliged to resolve disputes regarding opinions expressed in Reviews.

Disclaimers & Limitation of Liability

We provide the Site and Services “as is” without warranty of any kind, whether express or implied, including warranties of merchantability, non-infringement, fitness for a particular purpose, or uninterrupted use.

We do not guarantee the accuracy, quality, or lawfulness of Listings posted by Contributors. You accept that interacting or transacting with Contributors is at your own risk. We do not guarantee uninterrupted availability.

To the fullest extent permitted by law, Farmshare and its affiliates, officers, agents, and employees are not liable for:

  • Any direct, indirect, incidental, special, punitive, or consequential damages.
  • Loss of profits, data, business, goodwill, or anticipated savings.
  • Claims arising from your use, inability to use, or reliance on Listings or content.

Our aggregate liability to you for claims under these Terms is limited to A$100 (or another small amount you may choose) or an amount we have received from you in the last 12 months, whichever is greater.

Neither Farmshare (including its affiliates and personnel) nor any other party involved in creating, producing, or delivering the Farmshare Platform or any Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with (i) these Terms, (ii) the use of or inability to use the Platform or any Content, (iii) any communications, interactions or meetings you may have with someone you interact or meet with through, or as a result of, your use of the Platform, or (iv) publishing or booking of a Listing, including the provision or use of Host Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Farmshare has been informed of the possibility of such damage, even if a limited remedy set out in these Terms is found to have failed of its essential purpose.

These limitations of liability and damages are fundamental elements of the agreement between you and Farmshare.

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Farmshare Pty Ltd (ABN 32 694 362 733) and its directors, officers, employees, contractors and agents (those indemnified) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs and expenses (including reasonable legal costs on a solicitor-client basis) arising out of, relating to, or in connection with:

  1. your use of the Platform, including any communications or interactions with other Users (whether in person or online);
  2. any Listing, content or information you post or provide, including any allegation that it is inaccurate, misleading, defamatory, infringing, unlawful or causes loss or damage;
  3. any booking, stay, agistment arrangement, service or experience offered, provided, supplied, booked or participated in by you, including any act or omission of a Host, Customer, guest, invitee, contractor, employee, agent, or any third party connected to you;
  4. any animals you bring, keep, handle or control, including any injury, illness, escape, death, property damage or loss caused by or suffered by those animals;
  5. your breach of these Terms, any Host rules, or any applicable law (including animal welfare, safety, biosecurity, consumer and taxation laws); and
  6. any dispute between Users, including any claim by one User against another (for example, for property damage, personal injury, loss of animals, refunds, cancellations, misrepresentation, or negligence).

This indemnity is a continuing obligation, independent of your other obligations under these Terms, and survives termination of your account and/or these Terms.

Termination & Suspension of Services

We may suspend, limit, or terminate your access to the Site or Services at any time for any reason, including for breach of Terms. On termination:

  • Your license to use the Site and Services ends immediately.
  • Contributors’ content may be removed or archived.
  • Provisions that by their nature survive termination (e.g. indemnity, limitation, licenses) will survive.

Notices & Communications

We may give notices by:

  • Sending an email to your registered address; or
  • Posting notices on the Site.
  • Calling or texting your phone number.
  • Contacting you via social media, including but not limited to Facebook and Instagram.

You agree notices sent to your email or posted on the Site constitute effective legal notice.

General Provisions

  • Severability: If any provision is held invalid, the remainder stays in effect.
  • Waiver: Our failure to enforce a right is not a waiver of that right.
  • Assignment: You may not assign or transfer rights or obligations under these Terms except with our prior written consent.
  • Governing Law: These Terms are governed by the laws of QLD, Australia.
  • Jurisdiction: You submit to the courts of that jurisdiction for disputes.

Marketplace Role

Farmshare is a digital marketplace that facilitates connections between users. Farmshare does not own, lease, operate, manage, control, or provide any agistment, accommodation, animal care, or related services listed on the platform.

Any agreement entered into between users is solely between those users, and Farmshare is not a party to such agreements.

Animal Welfare Obligations

Guests are solely responsible for the care, safety, supervision, and welfare of their own horses and animals. Hosts and Guests must comply with all applicable animal welfare laws, regulations, and codes of practice in their jurisdiction. Farmshare does not supervise, monitor, or assess animal welfare conditions and is not responsible for any injury, illness, loss, or death of animals.

Prohibited Conduct – Safety & Threats

Users must not engage in threatening, abusive, coercive, or reckless conduct, including but not limited to threatening to release animals, restrict access, abandon animals, or interfere with their safety. Any such conduct may result in immediate suspension or termination of access to the platform without notice.

Accuracy of Listings

Hosts warrant that all listings, descriptions, images, videos, and representations accurately reflect the current condition of the property and facilities. The use of outdated, misleading, edited, or non-representative imagery (including aerial photography) is prohibited. Farmshare may remove or suspend listings that are inaccurate or misleading.

No Inspection or Verification

Farmshare does not inspect, verify, endorse, or certify listings, properties, facilities, fencing, water supply, shelters, or animal care practices. Users acknowledge that they are responsible for conducting their own due diligence before entering into any arrangement.

Cooperation With Authorities

Farmshare may cooperate with law enforcement, regulatory bodies, or animal welfare authorities where required by law or where we reasonably believe it is necessary to protect safety or comply with legal obligations.

Assumption of Risk

Users acknowledge that agistment, animal handling, and rural properties involve inherent risks, including injury, illness, escape, or death of animals. To the extent permitted by law, users assume all risks arising from their use of the platform and participation in arrangements made through Farmshare. No Emergency Services Obligation Farmshare does not provide emergency response, veterinary services, security, or on-site assistance. Users are responsible for arranging appropriate emergency, veterinary, or welfare services as required.

No Agency, Partnership or Employment Relationship

Nothing in these Terms, and no conduct between the Parties, creates or is intended to create any partnership, joint venture, employment, agency, fiduciary or franchise relationship between Farmshare and any User.

Farmshare operates solely as an online marketplace that facilitates connections between Users. Hosts, Customers and other Users act independently and are not employees, agents, representatives, contractors, or partners of Farmshare.

No User has authority to:

  • bind Farmshare to any agreement or obligation;
  • make representations, warranties or guarantees on behalf of Farmshare; or
  • incur liability or responsibility in Farmshare’s name.

Farmshare does not direct, control, supervise, or manage the conduct of Users, the operation of any property, the provision of any accommodation, agistment, experience, or service, or the care, handling, or supervision of animals. Users acknowledge that any agreement formed through the Platform is solely between the relevant Users, and Farmshare is not a party to that agreement.

Each User is solely responsible for:

  • complying with applicable laws and regulations;
  • obtaining licences, permits, registrations, and insurance required for their activities; and
  • their own acts, omissions, services, animals, property, and interactions with other Users.

Taxes, GST and Reporting Obligations

  1. User Tax Responsibility

Users are solely responsible for determining, reporting and paying any taxes, duties, levies or governmental charges arising from their use of the Platform, including but not limited to income tax, goods and services tax (GST), payroll tax, or other applicable taxes associated with Listings, Bookings, services, accommodation, agistment arrangements, or experiences provided through Farmshare.

Farmshare does not provide tax advice and Users should seek independent professional advice regarding their tax obligations.

  1. Host GST Obligations

Hosts are responsible for determining whether they are required to be registered for GST and for complying with all GST obligations under Australian law, including:

  • charging GST where required;
  • issuing valid tax invoices where applicable; and
  • reporting income earned through the Platform to the Australian Taxation Office (ATO).

Unless expressly stated otherwise, amounts displayed in Listings are deemed to be inclusive of GST where applicable.

  1. Platform Fees and GST

Farmshare may charge service fees for use of the Platform. Where required by law, GST will be applied to Farmshare’s service fees and shown at checkout or on applicable invoices. Farmshare will issue tax invoices for Platform fees where required under Australian taxation law.

  1. Marketplace Role

Farmshare acts solely as a technology platform facilitating payments between Users and does not act as the supplier of accommodation, agistment, experiences, or services listed on the Platform. Hosts are the supplier of their services for GST and taxation purposes unless otherwise required by law.

Australian Consumer Law (ACL)

Certain legislation, including the Australian Consumer Law (ACL) in the Competition and Consumer Act 2010, and similar consumer protection laws and regulations, may confer you with rights, warranties, guarantees and remedies relating to the provision of the Platform by us to you which cannot be excluded, restricted or modified (Statutory Rights).

If the ACL applies to you as a consumer, nothing in these Terms excludes your Statutory Rights as a consumer under the ACL. You agree that our Liability for the Platform provided to an entity defined as a consumer under the ACL is governed solely by the ACL and these Terms.

Subject to your Statutory Rights, we exclude all express and implied warranties, and all material, work and services (including the Platform) are provided to you without warranties of any kind, either express or implied, whether in statute, at law or on any other basis.

This clause will survive the termination or expiry of these Terms.
